Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using CineGrok at cinegrok.in (the "Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations of India.

If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and CineGrok.

2. About CineGrok

CineGrok is a platform designed for emerging and independent filmmakers. It provides tools and services to help filmmakers organise their work, build professional profiles, discover collaborators, and connect with the broader filmmaking community. Our services include profile building, AI-generated professional bios, filmmaker discovery and search, casting calls, collaboration tools, and profile analytics.

3. Eligibility & Account Registration

To use CineGrok, you must:

● Be at least 16 years of age
● Provide accurate, current, and complete information during registration
● Maintain the security and confidentiality of your account credentials
● Promptly update your information if it changes

You are responsible for all activity that occurs under your account. If you suspect unauthorised access, notify us immediately at docmail1131@gmail.com.

4. User Content & Intellectual Property

4.1 Your Content

You retain all intellectual property rights to the content you upload to CineGrok, including your profile information, filmography, photographs, film posters, and any other creative work ("User Content").

4.2 Licence to CineGrok

By submitting User Content to the Platform, you grant CineGrok a non-exclusive, worldwide, royalty-free, sub-licensable licence to host, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Platform's services. This includes displaying your profile to other users, in search results, and on public-facing pages.

4.3 Content Responsibility

You represent and warrant that:

● You own or have the necessary rights to all User Content you submit
● Your content does not infringe the intellectual property, privacy, or other rights of any third party
● Your content is accurate, not misleading, and does not violate applicable laws

4.4 CineGrok's Intellectual Property

The Platform, including its design, logo, features, code, and documentation, is the intellectual property of CineGrok and is protected by applicable copyright and trademark laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our prior written consent.

5. AI-Generated Content

CineGrok uses artificial intelligence to generate professional biographies based on the profile data you provide. By using this feature, you acknowledge that:

● AI-generated bios are created as a starting point and may require your review and editing before publication
● We do not guarantee the accuracy, completeness, or suitability of AI-generated content
● You are solely responsible for reviewing and approving any AI-generated content before it is published on your profile
● Your profile data is processed by our AI provider (Groq) for the sole purpose of generating your bio and is not used to train AI models

6. Subscriptions & Payment

6.1 Plans

CineGrok offers a Free tier and a paid Premiere tier. The Free tier provides essential profile features. The Premiere tier unlocks additional capabilities including unlimited filmography entries, film poster uploads, a full analytics dashboard, and collaboration tools.

6.2 Founding Member Pricing

Founding Member rates are exclusive to the first 100 members who publish a profile and subscribe. Upon cancellation of a Founding Member subscription, the user permanently forfeits eligibility for the Founding Member rate. Any subsequent re-subscription will be billed at the then-current standard rate.

Your Founding Member price is locked for as long as you maintain a continuous, active subscription. It never increases.

6.3 Billing

All paid subscriptions are billed on a recurring basis (monthly or yearly, as selected by you). Payments are processed by Razorpay. By subscribing, you authorise Razorpay to charge your chosen payment method at the beginning of each billing cycle until you cancel. You are also bound by Razorpay's Terms and Conditions.

6.4 Price Changes

We reserve the right to adjust subscription prices for new subscribers. If a price change affects your current subscription, we will provide at least 30 days' notice before the new price takes effect. Your continued use of the paid service after the price change constitutes acceptance.

7. Cancellation & Refunds

7.1 Cancellation

You may cancel your Premiere subscription at any time from your dashboard. Upon cancellation:

● You retain access to Premiere features until the end of your current billing period
● Your profile remains published with Free tier features
● Premiere-only content (additional films beyond the free limit, uploaded posters) is gracefully hidden but not deleted

7.2 Refund Policy

We offer a full refund within 7 days of your first payment if you are not satisfied with the Premiere tier. To request a refund, email us at docmail1131@gmail.com within the 7-day window. After the refund period, subscription fees are non-refundable for the remainder of the billing cycle. Partial-month or partial-year refunds are not provided.

8. Prohibited Conduct

You agree not to:

● Provide false, misleading, or fraudulent information in your profile or account
● Impersonate another filmmaker, person, or entity
● Upload content that is defamatory, obscene, hateful, discriminatory, or otherwise objectionable
● Upload content that infringes on the intellectual property rights of others
● Scrape, crawl, or use automated tools to extract data from the Platform without our written consent
● Attempt to gain unauthorised access to other accounts, systems, or networks connected to the Platform
● Harass, abuse, or threaten other users of the Platform
● Use the Platform for any unlawful purpose or in violation of any applicable Indian or international laws
● Interfere with or disrupt the integrity or performance of the Platform

9. Third-Party Services

CineGrok integrates with third-party services to provide its functionality. By using CineGrok, you acknowledge that you may also be subject to the terms and policies of:

● Clerk — for authentication (Terms)
● Razorpay — for payment processing (Terms)
● Google — if you sign in with Google (Terms)

We are not responsible for the practices or content of these third-party services. We encourage you to review their terms and privacy policies.

10. Disclaimer of Warranties

Important

The Platform is provided on an "as is" and "as available" basis. CineGrok makes no warranties, express or implied, regarding the Platform's reliability, availability, accuracy, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

CineGrok does not guarantee any specific outcomes from using the Platform, including but not limited to career advancement, collaboration opportunities, or industry connections.

11. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

● CineGrok shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform
● Our total aggregate liability for all claims related to the Platform shall not exceed the amount you paid to CineGrok in the twelve (12) months preceding the claim
● This limitation applies regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise)

12. Indemnification

You agree to indemnify, defend, and hold harmless CineGrok, its founders, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

● Your use of the Platform or violation of these Terms
● User Content you submit that infringes on third-party rights
● Any fraudulent, misleading, or unlawful activity conducted through your account

13. Termination

We reserve the right to suspend or terminate your account, without prior notice, if:

● You violate these Terms or engage in prohibited conduct
● Your account is involved in fraudulent or illegal activity
● Continued provision of the Platform to you is no longer commercially viable

Upon termination, your right to use the Platform ceases immediately. We may, at our discretion, remove your profile and User Content. Sections related to intellectual property, limitation of liability, indemnification, and governing law survive termination.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation.

15. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or a prominent notice on the Platform. Your continued use of CineGrok after revised Terms take effect constitutes your acceptance of the changes.
